Software Subscription, Licensing & Cancellation Policy

This Software Subscription, Licensing & Cancellation Policy governs software, plugins, software subscriptions, license keys, premium software features, updates, support services, and related digital software products provided by SE TN Consultants, LLC (“SE TN Consultants,” “we,” “us,” or “our”).

This policy supplements our Terms of Service.

It does not govern consulting, marketing, development, or other professional service engagements, which are subject to our Consulting & Professional Services Policy and, where applicable, a Master Services Agreement (“MSA”), Statement of Work (“SOW”), proposal, or other written agreement.

Free Software Editions

SE TN Consultants may offer certain software products in a Free edition.

Free editions allow users to evaluate compatibility, core functionality, and the general operation of the software before purchasing a paid license or subscription.

Because a Free edition may be available for evaluation, paid versions of those products do not include a free trial unless a specific promotional offer expressly states otherwise.

Features available in Free editions may differ from those included in paid plans.

Paid Software and Subscriptions

SE TN Consultants may offer software through paid licenses or recurring subscriptions.

Depending upon the product and plan selected, a paid subscription may provide access to:

  • Premium software functionality;
  • Software updates;
  • Security and compatibility updates;
  • License activation;
  • Activation on a specified number of websites or domains;
  • Technical support;
  • Premium integrations or services; and
  • Other features identified with the purchased plan.

Features, activation limits, pricing, support levels, and other benefits may vary by product or subscription level.

Software License

Unless different terms are expressly provided with a particular product, SE TN Consultants grants the purchaser a limited, non-exclusive license to install and use the software according to the applicable product, subscription, and number of permitted installations.

Certain SE TN Consultants software may incorporate or be distributed under open-source licenses. Nothing in this policy is intended to restrict rights expressly granted under an applicable open-source license.

Purchasing a software subscription does not transfer ownership of SE TN Consultants trademarks, branding, documentation, hosted services, licensing infrastructure, proprietary data, proprietary services, or other intellectual property not otherwise licensed to the purchaser.

Product-specific license notices or open-source licenses will control with respect to software components governed by those licenses.

License Activations and Connected Websites

Certain paid plans may limit the number of websites, domains, installations, accounts, or other endpoints that may simultaneously receive paid subscription benefits.

Customers are responsible for managing their permitted activations.

Where supported, customers may disconnect an existing website and reassign an available activation to another website, subject to the limitations of the applicable plan.

Customers may not circumvent license activation limits, authentication controls, account restrictions, or other systems used to determine access to paid subscription services.

Agency and Multi-Site Plans

Certain plans may permit paid subscription benefits to be activated on multiple websites, including websites managed for clients.

The number of permitted activations and other plan-specific limitations will be identified with the applicable product or subscription.

A multi-site or Agency subscription does not grant rights to use SE TN Consultants trademarks or branding in a manner suggesting ownership, sponsorship, or endorsement unless separately authorized.

Rights associated with open-source software remain subject to the applicable open-source license.

Minimum System Requirements

SE TN Consultants software is designed to operate within supported technical environments.

Each product may have minimum or recommended requirements relating to WordPress versions, PHP versions, database versions, server configuration, memory, browser compatibility, third-party components, or other technical requirements.

Current requirements for an individual product may be published on its product page or within its documentation.

Customers are responsible for confirming that their environment meets applicable minimum requirements before installing, activating, or updating software.

Use of our software in an unsupported, outdated, improperly configured, or materially modified environment may result in reduced functionality, compatibility issues, errors, or unexpected behavior.

Software Compatibility

Modern websites frequently operate using combinations of themes, plugins, extensions, hosting platforms, APIs, caching systems, content delivery networks, security products, custom code, and third-party integrations.

SE TN Consultants takes reasonable measures to develop and test its software for supported environments. However, we cannot test or guarantee compatibility with every possible combination of third-party software, custom code, server configuration, hosting environment, security system, or future software update.

A compatibility issue involving a particular third-party product or environment does not necessarily constitute a defect in SE TN Consultants software.

Backups and Staging Environments

Customers are responsible for maintaining appropriate and current backups of websites, databases, files, configurations, and other important data before installing, updating, configuring, or modifying software.

For business-critical, ecommerce, membership, highly customized, or otherwise sensitive websites, we strongly recommend testing significant software installations and updates in a staging or development environment before deploying them to a production website.

Customers are responsible for following reasonable website administration, security, backup, and change-management practices appropriate for their environment.

Website Availability, Data and Software Conflicts

Software installations, updates, configuration changes, third-party conflicts, server conditions, hosting limitations, network failures, security systems, custom code, and other circumstances may cause errors, interruptions, reduced functionality, or temporary website unavailability.

To the maximum extent permitted by applicable law, SE TN Consultants is not responsible for website downtime, data loss, loss of revenue, loss of business opportunity, restoration costs, or other damages resulting from unsupported environments, third-party conflicts, customer modifications, failure to maintain appropriate backups, hosting or server conditions, or circumstances outside our reasonable control.

Nothing in this section excludes or limits liability that cannot legally be excluded or limited.

Installation and Updates

Customers are responsible for determining when and where software should be installed or updated within their environment.

SE TN Consultants may periodically release updates addressing security, compatibility, functionality, performance, integrations, or other matters.

Customers are encouraged to maintain supported software versions and review applicable documentation or release information before significant updates.

Continued use of outdated or unsupported versions may increase the likelihood of compatibility, functionality, or security issues.

Subscriptions and Automatic Renewals

Certain paid software licenses and premium services are provided on a recurring subscription basis.

Unless otherwise disclosed at purchase, recurring subscriptions automatically renew at the end of each billing period using the payment method associated with the customer's account.

Renewal maintains access to benefits associated with the applicable paid plan, which may include premium functionality, updates, support, licensing services, connected-domain privileges, and other subscription features.

Customers are responsible for maintaining accurate account, billing, and payment information.

Renewal Pricing

Subscriptions renew at the price and under the terms applicable to the subscription, subject to pricing changes permitted by law and communicated as required.

Promotional, introductory, or discounted pricing may apply only to the initial subscription period unless expressly stated otherwise.

Cancellation

Customers may cancel an eligible software subscription at any time to prevent future automatic renewals.

Unless otherwise stated, cancellation does not immediately terminate the current paid subscription period.

The subscription and associated paid benefits will generally remain active through the end of the billing period for which payment has already been received.

Cancellation does not automatically generate a refund for previous payments or the current subscription period.

Refunds

When a Free edition of a software product is available, customers have an opportunity to evaluate the software's general operation and compatibility before purchasing a paid subscription.

As a result, payments for paid software subscriptions are generally non-refundable once access to the applicable paid license or premium functionality has been provided.

SE TN Consultants may, at its discretion, issue a refund or account credit in exceptional circumstances, including:

  • An accidental or duplicate first-time purchase;
  • A verified billing error;
  • A verified technical issue that prevents the paid software from functioning substantially as intended and that our support team cannot reasonably resolve; or
  • Other circumstances that SE TN Consultants determines warrant an exception.

Customers requesting consideration based upon a technical issue must provide SE TN Consultants with a reasonable opportunity to investigate and resolve the problem.

Nothing in this policy limits refund, cancellation, or other consumer rights that cannot legally be waived.

Renewal Charges

Subscription renewal charges are generally non-refundable.

Customers who do not wish to renew a subscription should cancel before the applicable renewal date.

Cancellation after a renewal has been processed prevents subsequent renewals but does not automatically reverse the current renewal charge.

If you believe a renewal resulted from a billing or account error, please contact SE TN Consultants promptly so we can review the circumstances.

Upgrades and Downgrades

Where available, customers may upgrade or downgrade between software subscription levels.

Pricing adjustments, billing treatment, feature availability, activation limits, and the effective date of a plan change may depend upon the applicable product and subscription.

Downgrading may result in loss of access to features, services, or activations that are not included with the lower subscription level.

Effect of Subscription Expiration

The effect of an expired paid subscription may vary depending upon the software product.

Expiration may result in loss of access to premium functionality, updates, support, licensing services, additional activations, hosted functionality, integrations, or other subscription benefits.

Where applicable, customers may continue to have access to a Free edition of the software after their paid subscription expires.

Any customer-created data or settings retained following expiration will be handled according to the functionality of the applicable product and our applicable privacy and data-retention practices.

Refunds and License Access

If SE TN Consultants issues a refund for a software purchase or subscription, the associated paid subscription benefits and license activation may be terminated or downgraded.

This may result in loss of access to premium features, updates, support, license activations, connected-domain privileges, hosted functionality, and other paid subscription benefits.

Bug Reports and Technical Support

Customers and users are encouraged to report suspected software defects through the support or bug-reporting channels provided for the applicable SE TN Consultants product.

Bug reports should include sufficient information for us to investigate and reproduce the issue when reasonably possible.

Users should not submit passwords, private keys, API secrets, payment information, license keys, or other sensitive credentials in ordinary bug reports.

Submission of a bug report does not guarantee that a particular issue will be corrected or that a correction will be provided within a specific timeframe.

SE TN Consultants may prioritize reported issues based upon factors including severity, reproducibility, security impact, affected software versions, compatibility, and the number of users affected.

Suspected security vulnerabilities should not be submitted through public bug-reporting channels and should instead be reported according to our Security & Responsible Disclosure Policy.

Third-Party Software and Services

SE TN Consultants software may integrate or interact with third-party software, platforms, APIs, hosting environments, WordPress plugins, themes, security systems, artificial intelligence services, or other technologies.

SE TN Consultants does not control third-party services and cannot guarantee their continued availability, compatibility, functionality, pricing, policies, or technical interfaces.

Changes made by a third-party provider may affect software functionality or integrations.

Acceptable Software Use

Customers may not use SE TN Consultants licensing systems, hosted services, customer accounts, support services, or other proprietary infrastructure to:

  • Circumvent paid-plan activation limits;
  • Obtain unauthorized access to premium services;
  • Share account or license credentials outside the permitted scope of a subscription;
  • Interfere with licensing, security, authentication, or update infrastructure;
  • Impersonate SE TN Consultants;
  • Misuse SE TN Consultants trademarks or branding;
  • Introduce malicious code or intentionally compromise our systems; or
  • Engage in fraudulent, unlawful, abusive, or unauthorized activity.

Nothing in this section is intended to restrict rights expressly granted by an applicable open-source software license.

Suspension or Termination

SE TN Consultants may suspend or terminate access to paid subscription services, license activation services, customer accounts, hosted services, or other proprietary infrastructure where reasonably necessary because of fraud, nonpayment, licensing abuse, unauthorized access, security threats, material violation of applicable terms, or unlawful use.

Where reasonably practical, we will attempt to provide notice and an opportunity to resolve the issue before terminating access, except where immediate action is reasonably necessary for security, legal compliance, fraud prevention, or protection of our infrastructure or users.

No Guarantee of Continuous Software Operation

Software environments and third-party technologies change over time.

SE TN Consultants does not guarantee that software will operate without interruption or error in every environment or remain compatible indefinitely with every third-party product, platform, hosting configuration, operating environment, or unsupported software version.

We may modify software when reasonably necessary to maintain compatibility, improve security, correct defects, add or remove functionality, or respond to changes in third-party platforms or technologies.

Relationship to Other Policies

This policy applies specifically to SE TN Consultants software, plugins, licenses, software subscriptions, and associated premium services.

Use of our websites, products, and services is also subject to our Terms of Service and Privacy Policy.

Consulting, marketing, development, and other professional service engagements are governed separately by our Consulting & Professional Services Policy and any applicable MSA, SOW, proposal, or other written agreement.

Product-specific requirements, documentation, license notices, or terms may supplement this policy.

If an applicable open-source license conflicts with a provision of this policy regarding rights in the licensed software code, the applicable open-source license controls with respect to that code.

Changes to This Policy

SE TN Consultants may update this policy periodically to reflect changes to our software, subscription offerings, licensing practices, technologies, or legal requirements.

The “Last Updated” date above identifies the most recent revision.
